Cognition, maker of the autonomous coding agent Devin, announces it is acquiring Windsurf — the product, the IP, the brand, the ~$82 million ARR business, and the several hundred employees left behind when Google hired away the founders on Friday.
The terms of note are human, not financial: every remaining Windsurf employee participates financially in the deal, with vesting cliffs waived and equity accelerated. After a weekend in which “reverse acquihire” became a synonym for employees-as-collateral, Cognition’s structure reads as deliberate counter-programming — and lands accordingly.
