CoreWeave discloses $14.2 billion Meta contract in SEC filing; shares climb 12%

The deal makes CoreWeave the clearest pure-play bet on the AI buildout — and raises fresh questions about how few customers carry its revenue.

CoreWeave disclosed Tuesday in a filing with the U.S. Securities and Exchange Commission that Meta has committed to pay it $14.2 billion for AI cloud infrastructure over roughly six years. The agreement includes an option to extend by an additional year, until Dec. 14, 2032. Shares closed up nearly 12%.

The contract lands days after CoreWeave expanded its existing agreement with OpenAI by $6.5 billion, bringing that total to $22.4 billion. Bloomberg first reported the Meta deal. CoreWeave chief executive Michael Intrator said in an interview that Meta will get access to Nvidia’s newest GB300 systems — the chips that underpin training runs and large-scale inference. CoreWeave rents out data centers built around Nvidia GPUs; Meta has said it expects 2025 total expenses of $114 billion to $118 billion, with AI driving further growth in 2026.

The deal also puts a spotlight on CoreWeave’s customer concentration. The company is thought to draw the bulk of its revenue from Microsoft, while OpenAI is now another major customer after last week’s expansion. Nebius, Lambda, Crusoe and Nscale compete for the same rental demand. Meta declined to comment to CNBC.

The relationship only deepened: in February 2026 CoreWeave sought an $8.5 billion bank loan backed by its Meta contracts, and on April 9, 2026 Meta committed a further $21 billion for dedicated capacity running through December 2032.
